Dispatch Service Agreement
Terms and Agreement:
Nature of Agreement
This document constitutes a voluntary service agreement, not a long-term
employment contract. Neither Loads of Wealth L.L.C. nor the Carrier is legally
bound to a permanent partnership. Both parties operate as independent entities.
Regulations and FMCSA Rules:
FMCSA RULES, REGULATIONS, AND COMPLIANCE
Both parties agree to fully comply with all FMCSA rules and regulations.
* Dispatcher Compliance: Dispatcher operates strictly as a bona fide dispatch
service representing the Carrier under 49 CFR § 371.2.
* Carrier Compliance: Carrier remains liable for vehicle safety, Hours of
Service (HOS) via ELD under 49 CFR Part 395, and weight limits.

Pricing and Payment
FEES, PAYMENT TERMS, AND METHODS
*Flat Rate: Carrier agrees to pay Dispatcher a flat fee of $300.00 per week.
* Payment Schedule: Payment is due every Friday.
* Grace Period & Termination:
If the Carrier fails to pay on Friday, a 5-day grace period will be granted. If payment is not received by the end of the 5th day, this agreement will be immediately terminated.
This termination
is unreconcilable, and Loads of Wealth L.L.C. will permanently cease work.

Mandatory Onboarding Checklist
Before the Dispatcher can book the first load, the Carrier must submit:
[ ] Signed Dispatcher-Carrier Agreement
[ ] Signed W-9 Form (Current Year)
[ ] Valid Certificate of Insurance (COI) meeting structural minimums
[ ] Notice of Assignment (NOI) / Factoring Information (if applicable)
[ ] Copy of active Commercial Driver’s License (CDL)
[ ] Copy of active Motor Carrier (MC) Authority Letter
[ ] Completed and signed Carrier Profile Packet
Roles and Responsibilities
Dispatcher Responsibilities:
* Scout, negotiate, and secure high-paying freight matching Carrier’s profile.
* Manage and transfer setup packets, rate confirmations, and billing details.
* Provide support with routing, check-calls, and broker communications.
* Abide strictly by FMCSA rules regarding independent dispatching standards.
Owner Operator Responsibilities
Carrier / Owner-Operator Responsibilities:

Maintain active DOT/MC authority, safety ratings, and required liability insurance.

Safely operate, maintain, and track the tractor and reefer equipment.

Accept or decline freight offers in a timely manner.

Provide real-time transit updates and notify Dispatcher immediately of any delays or issues.
• • Manage physical pickup, delivery, and securement of the cargo.
REEFER TEMPERATURE & CARGO PROTECTION CLAUSE
Carrier accepts sole responsibility for maintaining the proper ambient temperature
required by the broker/shipper rate confirmation.
* Pre-Cooling: Carrier must pre-cool the trailer to requested temperature.
* Monitoring: Carrier must monitor reefer fuel levels and check temps at stops.
* Continuous Run: Frozen/sensitive items must be run on "Continuous" mode.
* Pulping: Carrier is advised to pulp product during loading and note on BOL.
